These Terms & Conditions ("Terms") govern the services provided by Panel Development Partners Agency ("PDP", "we", "us", "our") to you or the business you represent ("Client", "you"). By engaging our services, selecting a plan, submitting payment, or accepting a proposal, you agree to these Terms. If you do not agree, do not purchase or use our services.

1. Services

PDP provides digital visibility and marketing services, which may include search engine optimization (SEO), Google Business Profile optimization, local search, reputation management, content creation, website development, automation and related consulting. The specific services included depend on the plan or proposal you select. We may use subcontractors and third-party tools to deliver the services.

2. No guarantee of results

Digital visibility depends on search engines, AI platforms, directories and other third parties whose algorithms, policies and rankings are outside our control and change frequently. We do not and cannot guarantee any specific ranking, position, amount of traffic, number of leads, calls, conversions, sales, or revenue. Any timelines, projections, or examples we share are estimates based on experience, not promises. Past results, including our own, do not guarantee future outcomes.

3. Fees and payment

  • Monthly plans are billed in advance for each billing cycle. One-time and project services are billed as stated in your plan or proposal.
  • Payments are processed securely through PayPal Business. We accept major credit and debit cards (Visa, Mastercard, American Express, Discover) and PayPal. A PayPal account is not required to pay by card.
  • Fees are stated in U.S. dollars and do not include any applicable taxes, which are your responsibility.
  • Prepayment discounts (for example, for paying several months upfront) apply only when payment is received in full and in advance.
  • Payments for services already performed are non-refundable.
  • If a payment is late or fails, we may pause or suspend services until payment is received and we may charge a reasonable late fee and any costs of collection.

4. Term, renewal and cancellation

  • Plans are month-to-month and renew automatically each billing cycle until cancelled. We recommend a minimum of three (3) months to achieve meaningful results.
  • Either party may cancel with at least thirty (30) days' written notice before the next billing date. You remain responsible for fees through the end of the current billing cycle.
  • We may suspend or terminate services for non-payment, abusive conduct, or violation of these Terms.

5. Client responsibilities

You agree to: (a) provide timely access to the accounts, profiles, websites and materials we reasonably need; (b) provide accurate, lawful and non-infringing information and content; (c) review and approve deliverables in a timely manner; and (d) maintain any licenses, registrations and regulatory compliance required for your own business. Delays caused by you may affect timelines and results and do not entitle you to a refund or credit.

6. Regulated and YMYL industries

Many of our clients operate in regulated or "Your Money or Your Life" (YMYL) fields such as healthcare, insurance, legal and finance. You are solely responsible for the accuracy, legality and regulatory compliance of your business, your products and services, your licensing and any claims or content you provide or approve. We are not responsible for your compliance with the laws, regulations, or professional rules that apply to your business.

7. Third-party platforms

Our services rely on third-party platforms including, without limitation, Google, Bing, AI search platforms, review sites, directories, hosting providers and PayPal. We are not responsible for the availability, policies, algorithm changes, fees, suspensions, or actions of these platforms, or for any resulting impact on your visibility, accounts, or results.

8. Intellectual property

Upon full payment, you own the final deliverables we create specifically for you, such as published content and pages. We retain ownership of our proprietary methods, processes, strategies, templates, tools and know-how and of any pre-existing or general-purpose materials, which we may continue to use and reuse. We may reference our work for you as a portfolio example unless you ask us not to in writing.

9. Confidentiality

Each party will protect the other's non-public information and use it only as needed to provide or receive the services.

10. Limitation of liability

To the maximum extent permitted by law, PDP will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising out of or related to the services. Our total liability for any claim is limited to the amount of fees you paid to us for the services in the one (1) month preceding the event giving rise to the claim. The services are provided "as is" and "as available," without warranties of any kind except as expressly stated in these Terms.

11. Indemnification

You agree to indemnify and hold PDP harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your business, your products or services, any content or information you provide or approve, or your violation of these Terms or of applicable law.

12. Communications and consent

By providing your contact information, you consent to receive communications from us related to the services. You may opt out of non-essential communications at any time.

13. Changes to these terms

We may update these Terms from time to time. The "Last updated" date above shows the latest version. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida and you consent to their jurisdiction.
